Website maintenance and management is an important and often overlooked part of running a website. A website is not something that can be left to fend for itself in the wilds of the world wide web as soon as it is completed. To keep your site functioning as it should, it needs to be maintained and looked after, there are updates to be made, content to be changed and backups to be made. Missing an update may not be devastating but it can be, recently a file manager plugin was found to have an exploit that allowed hackers to gain access and take over websites with relative ease.
We have created our WordPress maintenance packages to give you peace of mind that your website is being looked after by professionals, we do this monthly so are happy to take on the task of looking after your website.
1. Introduction
Welcome to Black Nova Designs Ltd WordPress maintenance services. By using our services, you agree to comply with the following terms and conditions. Please read them carefully.
2. Definitions
- “We,” “Us,” or “Our”: Refers to Black Nova Designs Ltd.
- “Client”: The individual or entity availing our WordPress maintenance services.
- “Website”: The WordPress website owned by the Client.
3. Scope of Services
- We offer WordPress monthly maintenance services, which include:
- Regular updates of WordPress core files.
- Plugin and theme updates (excluding premium plugins).
- Security checks and vulnerability assessments.
- Performance optimization.
- Troubleshooting common issues.
- Minor content edits and changes provided by client
- Backup of website files and restoration services if on Black Nova Hosting
4. Responsibilities
a. Client Responsibilities
- The Client agrees to:
- Provide necessary access credentials (WordPress admin, hosting, FTP, etc.).
- Promptly respond to our communication regarding updates or issues.
- Ensure that the website complies with legal requirements and does not violate any third-party rights.
- Not engage in any illegal or harmful activities related to the website.
b. Our Responsibilities
- We will:
- Perform regular updates as specified in the scope of services.
- Maintain confidentiality regarding access credentials.
- Use best efforts to ensure the website’s security and functionality.
- Provide timely communication regarding maintenance tasks.
- The Supplier may reasonably determine that any services are Out-of-scope Services.
- The Client acknowledges that the Supplier is not obliged to provide Out-of-scope Services.
5. Exclusions
- Our services exclude:
- Premium plugins (unless explicitly agreed upon separately).
- Custom development work beyond basic troubleshooting and maintenance.
- Content creation or modification.
- SEO services (unless specified otherwise).
6. Payment and Billing
- Payment terms and billing frequency will be agreed upon separately.
- Invoices are due within [14] days from the date of issue.
- The Client acknowledges that Support Hours will not be carried over to subsequent months if they are not utilised in any calendar month.
7. Termination
- Either party may terminate the maintenance services with 30 days’ notice.
- Upon termination, we will provide delete all access to website and website files.
8. Limitation of Liability
- We are not liable for any direct, indirect, or consequential damages arising from the use of our services.
- The Client assumes full responsibility for any content or changes supplied to us or made to the website.
- Under this package the Supplier will not be providing the Client with the following Services (without limitation):
- (a) Ongoing monitoring of website content.
- (b) Penetration testing.
- (c) Cybersecurity.
- (d) Data protection / UK GDPR;
- (e) Hosting.
- (f) Back-ups; or
- (g) Anti-virus protection.
9. Governing Law
- This Contract and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England.
- Each party irrevocably agrees that the courts of England shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Contract or its subject matter or formation.
10. Changes to Terms and Conditions
- We reserve the right to update these terms as needed.
